1. Agreement to Terms

These Terms of Service constitute a legally binding agreement made between you and GlitchFi ("we," "us," or "our"), concerning your access to and use of our website and services.

By accessing or using our website and services, you agree to be bound by these Terms of Service. If you do not agree to all the terms and conditions, you may not access the website or use any services.

2. Services

GlitchFi provides MVP development services for startups and businesses ("Services"). We offer various packages and custom solutions as described on our website.

We reserve the right to modify, suspend, or discontinue any part of our Services at any time without notice.

3. 30-Day MVP Guarantee

Our 30-Day MVP Guarantee is subject to the following conditions:

  • The guarantee applies only to the development of MVPs as specified in the agreed-upon project scope.
  • The 30-day period begins from the official project start date, as confirmed in writing.
  • To qualify, clients must provide all requested information, feedback, and approvals within 48 hours of request.
  • If we fail to deliver the MVP within 30 days due to factors within our control, you will receive a full refund.
  • The guarantee does not apply to delays caused by factors outside our control, including client delays, scope changes, or force majeure.

4. Intellectual Property

Upon full payment of all fees, you will own all rights to the final deliverables created as part of the Services, except for:

  • Third-party materials, including open-source software, which remain subject to their respective licenses.
  • Our proprietary tools, frameworks, and methodologies, which we retain ownership of.
  • Generic components that are not unique to your project.

We retain the right to use your project in our portfolio and marketing materials, unless otherwise agreed in writing.

5. User Representations

By using our Services, you represent and warrant that:

  • You have the legal capacity to enter into these Terms of Service.
  • You will not use our Services for any illegal or unauthorized purpose.
  • You will not violate any applicable laws or regulations.
  • You will provide accurate and complete information when using our Services.
  • You have the necessary rights to any content or materials you provide to us.

6. Payment Terms

  • A deposit of 50% of the total project fee is required to secure your project and begin work.
  • The remaining balance is due upon project completion, before final deliverables are released.
  • Payments are non-refundable, except as specified in our 30-Day MVP Guarantee.
  • Late payments may result in project delays and additional fees.

We reserve the right to modify our pricing at any time. Changes will not affect existing agreements.

7. Limitation of Liability

To the maximum extent permitted by law, in no event shall GlitchFi or its directors, employees, partners, agents, suppliers, or affiliates be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, use, or goodwill, resulting from your use of (or inability to use) the Services.

Our liability is limited to the amount you have paid us for Services, or $1,000, whichever is greater.

8. Indemnification

You agree to defend, indemnify, and hold harmless GlitchFi and its directors, employees, partners, agents, suppliers, and affiliates from and against any claims, liabilities, damages, judgments, losses, costs, or fees (including reasonable attorneys' fees) arising out of your violation of these Terms or your use of the Services.

9. Governing Law

These Terms of Service shall be governed by and construed in accordance with the laws of the United States of America, without regard to conflict of law provisions. Any disputes shall be resolved through binding arbitration in accordance with the rules of the American Arbitration Association.

10. Changes to Terms of Service

We reserve the right to modify these Terms at any time. If we make material changes, we will notify you by email or by posting a notice on our website. Your continued use of our Services after such changes constitutes acceptance of the new Terms.
